Frequently asked questions
These answers summarise the Letter of Offer dated 14 October 2026. Read it before you apply.
The issue at a glance
What is this rights issue?
Shraddha Prime Projects Limited (SPPL) offers up to 60,60,150 partly paid-up Rights Equity Shares of face value ₹10 each, at ₹160 per share including a premium of ₹150. Shareholders on the record date, 15 October 2026, are offered 3 Rights Equity Shares for every 20 fully paid-up equity shares they hold. The issue raises up to ₹9,696.24 lakh.
Who can apply?
Shareholders whose names appear as beneficial owners with the depositories, or on SPPL’s register of members for physical shares, at the close of business on the record date, 15 October 2026. Anyone who buys or receives Rights Entitlements — a renouncee — can also apply, against the Rights Entitlements in their demat account.
What are the key dates?
- Issue opens: 12 November 2026
- Last day to sell Rights Entitlements on BSE: 17 November 2026
- Physical shareholders’ demat details due with RCMC: 18 November 2026
- Issue closes: 20 November 2026
- Basis of allotment, and allotment: on or about 23 November 2026
- Rights Equity Shares credited: on or about 24 November 2026
- Listing and trading: on or about 25 November 2026
SPPL’s Board can extend the issue period, to no more than 30 days from the opening date.
How much do I pay, and when?
₹144 per Rights Equity Share on application — 90% of the ₹160 issue price. The balance of ₹16 per share is payable later, in one or more calls; SPPL’s Board sets the number, timing and amount of each call. You can pay call money through ASBA too.
How many Rights Equity Shares can I apply for?
Your Rights Entitlement Letter shows the number: 3 for every 20 shares you held on the record date. Fractions are ignored. If you held fewer than 7 shares, your entitlement is zero — but you can still apply for additional shares, and you get preference for one additional share. The same preference applies when a fraction was ignored.
Where can I read the Letter of Offer?
On this page, on SPPL’s website (www.shraddhaprimeprojects.in) and on BSE’s (www.bseindia.com). SPPL sends the Application Form and Rights Entitlement Letter to every shareholder with an Indian address — by e-mail where one is registered, otherwise to the Indian address on record. The Letter of Offer itself is sent to shareholders with an Indian address who ask for it.
Rights Entitlements
What is a Rights Entitlement?
Your right to subscribe to the Rights Equity Shares set out in your Rights Entitlement Letter. SPPL credits it to your demat account before the issue opens, in demat form only, under its own ISIN: INE311M20026.
How do I check my Rights Entitlement online?
Use the Rights Entitlement check on this page. For shares in demat form, enter your DP ID and Client ID and the PAN of the first holder — the holder named first on the demat account. For shares in physical form, enter your folio number and the certificate number of any one share certificate in that folio. The check shows only your own record.
Can I sell or transfer my Rights Entitlements?
Yes, in full or in part, once they are in your demat account:
- On BSE, through your stock broker, from 12 November 2026 to 17 November 2026, quoting ISIN INE311M20026. The market lot is one Rights Entitlement.
- Off-market, through your depository participant, with a delivery instruction slip quoting the same ISIN. Complete it in time for the Rights Entitlements to reach the buyer’s demat account by the issue closing date, 20 November 2026.
Resident shareholders who held physical shares on the record date cannot renounce. Nor can anyone who applies on plain paper.
What happens if I neither apply nor sell?
Your Rights Entitlements lapse when the issue closes on 20 November 2026 and are extinguished. You get no shares for them. A buyer of Rights Entitlements who does not apply loses the premium paid for them.
I bought Rights Entitlements. Do I still need to apply?
Yes. A Rights Entitlement is the right to apply, not a share. Apply through ASBA by the issue closing date, or the Rights Entitlements lapse and the premium you paid is lost.
Applying
How do I apply?
Only through ASBA (Application Supported by Blocked Amount). You need an ASBA-enabled bank account with a Self-Certified Syndicate Bank (SCSB). Submit the Application Form at a Designated Branch of your SCSB, or apply on the SCSB’s website where it offers that. The SCSB blocks the application money in your account until the basis of allotment is final. SEBI publishes the list of SCSBs on its website.
What can I do with my Rights Entitlements when I apply?
You have five options:
- apply for all of them;
- apply for part, without renouncing the rest;
- apply for part and renounce the rest;
- apply for all of them, and for additional shares;
- renounce them in full.
Can I apply for more shares than my entitlement?
Yes, if you apply for your full Rights Entitlement and renounce none of it. Additional shares come from any shares left unsubscribed, allotted as far as possible on an equitable basis with regard to the shares you held on the record date. If you renounce any Rights Entitlements, you cannot apply for additional shares.
I have not received the Application Form. How do I apply?
Download it from this page, SPPL’s website (www.shraddhaprimeprojects.in) or BSE’s (www.bseindia.com) — or apply on plain paper, using the plain-paper format on this page. All holders sign it, in the same order as their bank’s specimen, and it must reach the Designated Branch of your SCSB before the issue closes. A plain-paper application cannot renounce Rights Entitlements, and SCSBs do not accept one from a shareholder without an Indian address. Never send both the form and a plain-paper application — both can be rejected.
Can I pay in cash, by cheque, or from someone else’s bank account?
No. Every payment goes through ASBA. Cash, money orders, pay orders and postal orders are not accepted, nor are cheques, and you cannot apply from a third party’s ASBA account.
Can I hand my application to RCMC or to SPPL?
No. Submit it only to a Designated Branch of your SCSB, or online through your SCSB. An application sent to RCMC, to SPPL, to the Banker to the Issue or to a branch that is not a Designated Branch can be rejected.
Which details must match to avoid rejection?
Your DP ID, Client ID and PAN must match the Registrar’s records. Give the PAN of every joint holder, and make sure each PAN is linked with Aadhaar. Names must be exactly as in your demat account, in the same order. Make one application per demat account — a second one can be rejected.
What is the last time to apply?
5.00 p.m. (IST) on 20 November 2026, the issue closing date — unless BSE permits a later time or SPPL’s Board extends the issue. Apply before the closing date: on the day itself, delays can stop a physical application.
Can I withdraw my application?
Yes, at any time while the issue is open, through the SCSB where you applied. After the issue closes on 20 November 2026, no application can be withdrawn.
Shareholders with physical share certificates
I hold shares in physical form. What do I do?
Rights Entitlements are credited in demat form only, so give RCMC your demat account details by 18 November 2026, in one of two ways:
- online, on the demat-details page of RCMC’s website, with your folio number and the certificate number of any one share certificate; or
- by letter to RCMC — by e-mail, post, speed post, courier or hand — with your name, address, e-mail, contact details and demat account details, a self-attested PAN and a self-attested client master sheet.
RCMC verifies the account and moves your Rights Entitlements from the demat suspense escrow account into it by 19 November 2026. Apply once they arrive. If you are resident in India, you cannot renounce them, but you can apply for additional shares.
Shareholders outside India
I live outside India. How do I take part?
SPPL sends the Rights Entitlement Letter and Application Form only to an Indian address. If the laws where you live allow you to subscribe, download the Letter of Offer and Application Form from this page, SPPL’s website or BSE’s. E-mail investor.services@rcmcdelhi.com with a self-attested PAN, your client master sheet and your demat account details; use the same address to update your Indian address, with a self-attested proof of address or passport. Pay only through ASBA, from an account FEMA and RBI rules permit, such as NRE, FCNR or NRO. SCSBs do not accept a plain-paper application from a shareholder without an Indian address.
After the issue closes
When do I get my shares, or my money back?
On or about these dates: basis of allotment and allotment, 23 November 2026; Rights Equity Shares credited to your demat account, 24 November 2026; listing and trading on BSE, 25 November 2026. Shares are allotted in demat form only, to the demat account in your Application Form. Your allotment advice comes by e-mail. Application money not used for allotted shares is unblocked in your ASBA account.
